Terms of Service

1. Acceptance of Terms

By creating an account or using the M-Factory service (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you must not use the Service.

2. Service Description

M-Factory is a software-as-a-service platform that uses third party artificial intelligence providers to generate music, images, and video clips from user prompts, and composes them into music videos using server-side video processing. The Service is provided "as is" and may change, be suspended, or discontinued at any time.

3. Eligibility

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater, to use the Service. You are responsible for the security of your account credentials.

4. Credits & Subscriptions

  • The Service operates on a credit-based system. Each generation, composition, or feature consumes a defined amount of credits.
  • Subscriptions renew automatically on the same calendar day each month until cancelled. You may cancel at any time via the customer portal; the cancellation takes effect at the end of the current billing period and you retain access until then.
  • One-time top-up credit packs are added to your balance immediately on successful payment. Credits do not expire as long as your account remains active for 12 months without sign-in, after which we may close the account.
  • Credits and subscription fees are non-refundable except where required by applicable law. See our Refund Policy for details.

5. User Content & License

  • You retain all rights to content you generate using the Service ("User Output"), subject to the licenses granted to underlying AI providers.
  • You grant M-Factory a non-exclusive, worldwide, royalty-free license to host, transmit, and serve User Output as necessary to operate the Service (storage, playback, downloads).
  • You represent that prompts and uploaded files do not infringe any third-party rights and do not contain unlawful content.

6. Prohibited Use

You agree not to use the Service to:

  • create deepfakes, sexually explicit material, or non-consensual imagery of identifiable persons;
  • create content involving minors in any sexual or exploitative context;
  • generate hate speech, incitement to violence, or content that violates Thai law;
  • infringe copyright, trademark, or other intellectual-property rights;
  • attempt to bypass rate limits, credit deductions, security checks, or access controls;
  • reverse engineer, scrape, or use automated tools beyond documented APIs;
  • resell, sublicense, or commercially redistribute Service access.

Violation may result in immediate account suspension and forfeiture of credits without refund.

7. Third-Party AI Providers

M-Factory uses third-party AI providers (currently KIE.AI / Suno / Nano Banana / Seedance) to generate certain content. Their terms apply in addition to ours. We do not guarantee the legal status, originality, or quality of AI-generated output.

8. Termination

We may suspend or terminate your account immediately, without notice or refund, if you violate these Terms, abuse the Service, or fail to pay charges due. You may delete your account at any time from Settings, which removes your personal data per our Privacy Policy.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will meet any quality standard or be free of third-party rights.

10. Limitation of Liability

To the maximum extent permitted by law, M-Factory shall not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our aggregate liability for any claim shall not exceed the total amount you paid us in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless M-Factory, its affiliates, employees, and contractors from any claim, damage, or expense arising from your use of the Service, your User Output, or your violation of these Terms or any third-party right.

12. Governing Law & Disputes

These Terms are governed by the laws of Thailand. Any dispute shall be resolved exclusively in the competent courts of Thailand, except where consumer-protection laws require otherwise.

13. Changes

We may update these Terms from time to time. When we make material changes, the new version will be published with a new effective date, and users will be prompted to re-accept on next sign-in. Continued use after acceptance constitutes agreement.
